What is a Statement of Information?
A Statement of Information will update the Secretary of State of changes made to your business. An LLC Statement of Information filing is required for all LLCs formed in California or registered to do business here. It can be changes like updating new managers, members, or business address.
LLC Statement of Information Filing
California LLCs are required to file a Statement of Information biennially. It is due every other year in the same month your business is formed in. For example, if your business was formed in July, the Statement of Information filing would be due every other year in July. Unfortunately, LLC Statement of Information filings may not be done online. You may file the form over the counter by mail.
All new LLCs are required to file its first Statement of Information filing within 90 days. A Statement of Information must be filed when it is due even if there has been no changes to the entity. The Secretary of State requires that you confirm the current information filed is still correct. Failing to file your LLC Statement of Information on time may result in a $250 penalty and a suspended or forfeited status.
Below is a list of information that can be updated through filing the Statement of Information form:
- LLC Principal Address
- Mailing Address
- Agent for Service of Process
- Type of Business
Filing LLC Statements of Information do NOT amend the following information:
- LLC Name – LLC names can be changed through filing an LLC-2 Certificate of Amendment.
- Management Style – Management styles can be changed through filing an LLC-2 Certificate of Amendment
- IOrganizers – Organizers can not be amended.
